Terms and Conditions of Servic

1. Acceptance of Terms

By engaging with Atlas ("we", "us", or "our"), accessing our Client Portal, or deploying our Managed Infrastructure (the "Atlas Engine"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute a binding legal agreement between you (the "Client") and Atlas.

2. Infrastructure Access & Usage Rules

To ensure the integrity and velocity of the Atlas Engine, all clients must adhere to strict operational protocols.

  • Eligibility: You must represent a legitimate business entity. Services are not available to consumers for personal use.

  • Credential Security: You are responsible for maintaining the security of your Client Portal credentials. Any activity occurring under your account is your responsibility.

  • Prohibited Engineering Activities: You agree not to misuse the Atlas Infrastructure. Specifically, you are strictly prohibited from:

    • Reverse Engineering: Attempting to decompile, copy, or replicate our proprietary automation workflows, n8n JSON schemas, or AI Agent prompts.

    • Unauthorized Usage: Using our warmed-up domains or outreach infrastructure for illegal spamming, phishing, or activities that violate CAN-SPAM or GDPR regulations.

    • Interference: Attempting to bypass the security protocols of our Agent Grid.

3. Client Data & Sovereignty

We distinguish clearly between Your Data and Our Code.

  • Client Ownership: You retain full ownership of all business data, prospect lists, brand assets, and "Output Data" (Leads, Replies, Market Intelligence) generated during the engagement.

  • License to Operate: By submitting data to Atlas, you grant us a worldwide, non-exclusive license to process, enrich, and utilize such data solely for the purpose of executing the agreed-upon infrastructure services.

  • Accuracy: You are responsible for the accuracy and legality of the inputs (e.g., Target Audience criteria) provided to the system.

4. Intellectual Property (The Code)

This is a Managed Infrastructure service, not a "Work for Hire" software development contract.

  • Atlas Ownership: The "Atlas Engine," including but not limited to our automation logic (n8n), AI Agent configurations, proprietary decision trees, and strategic frameworks, remains the exclusive Intellectual Property (IP) of Atlas.

  • Usage Rights: You are purchasing the outcome (Leads/Revenue) and a license to use the system while active. You do not acquire rights to resell, duplicate, or self-host the underlying infrastructure code upon termination.

  • No Derivative Works: You may not create derivative works based on our proprietary tech stack without prior written permission.

5. Termination & Off-Boarding

  • Termination by Atlas: We reserve the right to suspend your instance immediately if you violate these Terms (e.g., non-payment, abuse of staff, or illegal activity).

  • Effect of Termination: Upon termination of the engagement:

    • The Atlas Engine (Automation Workflows) will be paused/deactivated.

    • You will retain access to your CRM and all Leads generated up to that date.

    • You will lose access to the automated enrichment and outreach agents managed by Atlas.

6. Performance & Disclaimers

  • Service Level Agreement (SLA): While we operate on a Performance SLA (e.g., "Work until we hit the KPI"), we do not guarantee specific closed revenue figures, as these depend on market conditions and your internal sales team's ability to close the leads we generate.

  • Platform Volatility: Atlas employs "Ban-Proof" protocols to the best of our ability. However, we are not liable for arbitrary actions taken by third-party platforms (LinkedIn, Google, Outlook) regarding account restrictions, algorithm changes, or policy updates that are outside our control.

  • "As Is" Basis: The infrastructure is provided on an "as is" and "as available" basis.

7. Limitation of Liability

To the fullest extent permitted by law, Atlas, its directors, and engineers shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or goodwill, arising from the use or inability to use the Atlas Infrastructure. Our total liability is limited to the amount paid by you to Atlas in the billing cycle preceding the claim.

8. Modifications to Protocols

Atlas reserves the right to update these Terms to reflect changes in our technology stack or legal requirements. Continued use of the Atlas Engine after such modifications constitutes acceptance of the new Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Argentina, without regard to its conflict of law provisions. Any disputes shall be resolved in the jurisdiction of Argentina.
